Immersion, the San Jose provider of hardware and software “touch” technologies used in digital devices said in a filing today that its audit committee has begun an internal investigation into “certain previous revenue transactions in its Medical line of business. The company said the investigation is being conducted “with the assistance of outside counsel”.

A deal reached last month in which the former Silicon Valley software company Borland agreed to be acquired by the British business software developer for $1 a share is now on hold as Borland’s board now entertains a $1.25 per share bid from an undisclosed “Company A,” according to a filing Borland made Thursday with the SEC.

IPass, the Redwood City developer of business-mobility software whose board has spent much of the last two years struggling with large and disgruntled investors, has agreed to “take steps to return to shareholders” up to $40 million, according to a deal it has reached with Foxhill Master Fund. Foxhill, which owns about 7 percent of iPass’s outstanding shares, had launched a proxy battle to declassify the iPass board, forcing all directors to stand for re-election each year rather than serving in various overlapping terms. It also nominated three people of its own choosing to serve on the iPass board.

Starbucks, which wants to enact a “one-time stock option exchange” in light of its shares losing about three-quarters of their value over the last couple of years, decided to delete one sentence from its 2005 stock plan following “discussions with (shareholder advisor) RiskMetrics Group in connection with its review” of the shareholder approval it is seeking at the coffee retailer’s annual meeting next month.

The board of directors at Satyam Computer Services evidently wanted investors and customers to know that they’ve been busy in the wake of the disclosure earlier this month by the company’s chairman and co-founder that the Indian outsourcing company had significantly inflated its earnings and assets for years.
The board completed its third meeting in thirteen days Friday, according to a release filed with the SEC Friday headlined “Satyam Board announces Decisive action on Key issues”.
